Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Homsie website, platform, software, and related services (collectively, the "Services"). These Terms form a legally binding agreement between you and Homsie ("Homsie," "we," "our," or "us").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

1. Overview & Role of Homsie

Homsie is a technology platform that provides software tools to help real estate professionals engage homeowners through branded portals, dashboards, and property-related insights.

Homsie:

• Is not a real estate brokerage

• Does not provide real estate, legal, tax, or financial advice

• Does not represent buyers or sellers

• Does not participate in real estate transactions

All real estate services are provided independently by third-party real estate professionals.

2. Eligibility

You must be at least 18 years old and legally capable of entering into contracts to use the Services. By using the Services, you represent and warrant that you meet these requirements.

3. User Types

The Services may be used by:

• Real Estate Professionals ("Agents") – licensed or unlicensed professionals using the platform for business purposes

• Consumers – homeowners or individuals accessing a Homsie-branded portal

These user groups interact independently through the platform.

4. Agent Independence & No Agency Relationship

Agents using Homsie are independent third parties and are not employees, contractors, partners, or representatives of Homsie.

Homsie does not control, direct, supervise, or monitor:

• Agent communications

• Agent marketing or solicitation

• Agent compliance with real estate or marketing laws

Any relationship between an Agent and a Consumer exists solely between those parties.

5. Consumer Data Sharing & Consent

When a Consumer accesses a Homsie-branded portal through an Agent invitation:

• The Consumer acknowledges that the portal is branded for and managed by that Agent

• Certain information entered, confirmed, or displayed in the portal (including property and ownership-related data) is shared with the Agent

• The Agent may use this information to communicate with the Consumer regarding real estate-related services

By using the Services, Consumers consent to this data sharing.

6. No Responsibility for Agent Communications

Homsie is not responsible or liable for:

• The frequency, content, or manner of Agent communications

• Any solicitation, marketing, outreach, or follow-up conducted by an Agent

• Agent compliance with applicable real estate, privacy, or anti-spam laws

Any disputes between an Agent and a Consumer must be resolved directly between those parties.

7. Account Registration & Security

To access certain features, you may be required to create an account. You agree to:

• Provide accurate and current information

• Maintain the confidentiality of your login credentials

• Accept responsibility for all activity under your account

You must notify us immediately of any unauthorized use of your account.

8. Acceptable Use

You agree not to:

• Use the Services for unlawful, deceptive, or fraudulent purposes

• Misrepresent your identity or authority

• Scrape, reverse engineer, copy, or resell the Services

• Use the platform to harass, spam, or improperly contact individuals

• Interfere with the security or operation of the Services

We may suspend or terminate access for violations of this section.

9. Property Information & Valuation Disclaimer

Any property values, equity estimates, market insights, or homeowner information provided through the Services are for informational purposes only.

They do not constitute appraisals, guarantees, or professional advice. Homsie does not verify ownership, intent, or transaction readiness.

10. Fees & Subscriptions

Certain features of the Services may require payment. Pricing and billing terms will be disclosed at the time of purchase.

Unless otherwise stated in writing:

• Fees are non-refundable

• Subscriptions renew automatically until cancelled

We reserve the right to modify pricing with reasonable notice.

11. Intellectual Property

All software, content, trademarks, and technology used in the Services are owned by or licensed to Homsie.

You are granted a limited, non-exclusive, non-transferable license to use the Services for internal business purposes only.

12. Third-Party Services

The Services may integrate with third-party tools or data sources. Homsie is not responsible for third-party content, accuracy, or practices.

Your use of third-party services is governed by their respective terms.

13. Suspension & Termination

We may suspend or terminate your access to the Services at any time if:

• You violate these Terms

• Required fees are not paid

• Your use creates legal, security, or reputational risk

Upon termination, your right to use the Services will cease.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

HOMSIE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMSIE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

HOMSIE’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO HOMSIE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify and hold harmless Homsie from any claims, damages, losses, or expenses arising out of:

• Your use of the Services

• Your violation of these Terms

• Your communications or dealings with other users

17. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

18. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
